Gregg Cannady has over thirty years of legal experience and is currently of counsel to the firm. He spent 18 years in private law practice at a leading Dallas law firm and 5 years serving as general counsel for one of Texas’ largest home healthcare providers before joining Brown & Fortunato in 2013.
Gregg has a general business practice focusing on mergers and acquisitions, corporate finance, corporate governance, business start-ups and general business advice. In his transactional practice Gregg has served as the principal legal advisor on numerous mergers, acquisitions and divestitures in a variety of industries to help clients achieve growth, streamlining or exit strategies. Gregg has negotiated and drafted purchase and sale agreements, merger agreements and ancillary documents such as employment and consulting agreements, confidentiality and non-compete agreements, earn-outs and escrow agreements.
Gregg has also served as the lead legal advisor to borrowers in securing funding to support the growth of the business and in structuring and implementing recapitalization plans. In that capacity, he has negotiated and drafted loan documents and related instruments such as guarantees, security and pledge agreements, promissory notes and the like. Additionally, Gregg has served as general counsel for a number of businesses in handling day-to-day legal matters. He has advised management on a broad array of issues including questions of employment law, real estate lease negotiations, distribution and materials supply agreements, commercial disputes and questions of corporate governance, including the exercise of fiduciary duties by directors and officers as well as the interpretation of shareholder rights under state law and shareholder agreements.
Gregg and his wife, Connie, have three adult sons. In his free time, Gregg enjoys traveling, hiking, reading, and hunting.
